Terms of Service

These Terms of Service (“Terms”) govern access to and use of Zivvy (https://zivvy.xyz), a cloud business software service provided by Vestcodes Co (“Vestcodes”, “we”, “us”). By creating an account, accessing the service, or completing a paid subscription, you agree to these Terms.

1. The service

Zivvy is a multi-tenant SaaS application for CRM, operations, and related business workflows. Features available to you depend on your subscription plan (Free, Pro, or Business) as described on our Pricing page and may change with notice as we improve the product.

2. Accounts and eligibility

• You must provide accurate registration information and keep credentials secure.
• You are responsible for activity under your organization’s workspace and user seats.
• You must be legally able to enter a binding contract under the laws of India (or your jurisdiction, if stricter).

3. Subscriptions, seats, and billing (Polar)

Paid plans are billed on a per-user (seat) monthly basis through Polar (polar.sh), which acts as our merchant of record / payment processor for subscriptions. By upgrading, you authorize Polar to charge the applicable fees for the selected plan and seat quantity.

• Free: limited features and a soft seat cap of 2 users.
• Pro: USD $15 per user / month.
• Business: USD $25 per user / month.

Taxes, invoices, refunds, payment method updates, and subscription cancellations are handled through Polar’s checkout and customer portal, subject to Polar’s terms. Seat increases may be prorated according to Polar’s seat-based pricing rules. Failure to pay may result in suspension or reversion to the Free plan.

4. Acceptable use

You must comply with our Acceptable Use Policy. We may suspend access for abuse, security risk, unlawful activity, or material breach of these Terms.

5. Customer data

You retain ownership of data you submit to Zivvy (“Customer Data”). You grant Vestcodes a limited license to host, process, and display Customer Data solely to provide and improve the service. Our handling of personal data is described in the Privacy Policy.

6. Intellectual property

Zivvy, including software, branding, and documentation, is owned by Vestcodes Co or its licensors. These Terms do not transfer ownership of our IP. ERPNext and Frappe are third-party open-source projects used under their respective licenses; Zivvy branding and SaaS packaging are provided by Vestcodes.

7. Confidentiality

Each party will protect the other’s confidential information with reasonable care and use it only for performing under these Terms, except where disclosure is required by law.

8. Warranties and disclaimers

The service is provided on an “as is” and “as available” basis. To the maximum extent permitted by Indian law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

9. Limitation of liability

To the maximum extent permitted by law, Vestcodes Co’s aggregate liability arising out of these Terms will not exceed the fees paid by you to Vestcodes/Polar for Zivvy in the three (3) months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits/data.

10. Term and termination

You may stop using Free at any time. Paid subscriptions renew until canceled via the Polar customer portal or as otherwise offered in-product. We may terminate or suspend for material breach, non-payment, or legal risk. Upon termination, your right to access paid features ends; we may retain data as required by law or our Privacy Policy.

11. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Courts in India shall have exclusive jurisdiction, subject to any mandatory consumer protections that apply.

12. Changes

We may update these Terms by posting a revised version on this page. Material changes to paid plans will be communicated reasonably in advance where practicable. Continued use after the effective date constitutes acceptance.
